a. Dwello is a digital loan marketplace and lead-generation platform that works with both consumers and participating contractors. Depending on the applicable program and jurisdiction, financing options made available through the Site may include bank-originated loans from third-party lenders or retail installment sales contracts between consumers and participating merchants or affiliates. Dwello does not originate, underwrite, fund, or service loans, nor does Dwello provide contractor services. Instead, Dwello enables contractors to offer financing options to their customers and connects consumers with licensed, independent third-party lenders who make all credit decisions. Any loan offer, loan approval, or service arrangement is solely between you, the contractor, and the applicable lender.

b. The Site is intended solely for use by individuals who are 18 years of age or older, currently located in the United States, and legally permitted to access and use online financial marketplaces under the laws of their jurisdiction.

Dwello grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use, or—if you are a contractor—for your internal business purposes in connection with offering financing to eligible customers. Except as expressly permitted, you agree not to:

b. Use the Site for unlawful, fraudulent, or misleading purposes, including submitting false information or loan applications;

c. Impersonate any person or entity, misrepresent your identity or affiliation, or submit information on behalf of any individual without their permission;

d. Access or attempt to access Dwello systems without authorization, including attempting to circumvent security features, technical protections, or access controls;

e. Interfere with or disrupt the integrity, performance, or availability of the Site, including through automated scripts, data scraping, bots, or any activity that places excessive load on Dwello’s infrastructure;

f. Use the Site to harvest, collect, or misuse consumer or contractor information, including for marketing or resale purposes without consent;

g. Use the Site in any manner inconsistent with Dwello’s role as a marketplace and lead-generation platform, including representing Dwello as a lender, servicer, or contractor.

h. Dwello reserves the right, in its sole discretion, to suspend, restrict, or terminate access to the Site for any actual or suspected violation of these terms, or for any conduct that Dwello reasonably believes may harm Users, contractors, lenders, or Dwello’s systems or reputation.

a. Certain areas or features of the Site may be accessed only by registered users who have created an account with Dwello. To create an account, you must complete the registration process by providing current, complete, and accurate information as requested. If Dwello believes, for any reason, including but not limited to suspicion or concern, that any information you have provided is untrue, inaccurate, outdated, or incomplete, Dwello reserves the right to suspend or terminate your access to the Site or your account. You are solely responsible for keeping your registration information up to date.

b. Once your account is created, you may be required to select one or more personal, non-transferable passwords or authentication credentials. You are solely responsible for maintaining the confidentiality of your password(s), protecting your personal information, and for all activity that occurs under your account, whether or not you authorized it. You understand and agree that neither Dwello nor its partners, licensors, nor its employees are responsible or liable for any claim, loss, costs, or damage resulting from your failure to safeguard your account credentials.

a. Dwello does not claim ownership of the personal information or application data (“Data”) you submit through the Site in connection with your use of our services. However, you acknowledge that Dwello and its partners may collect, process, store, and share your Data in accordance with our Privacy Policy. This may include use for matching you with financial service providers or offering tailored products and services. Dwello also retains rights to any anonymized, aggregated data that is not personally identifiable.

b. Dwello will not access, use, or disclose your personally identifiable information except as outlined in the Agreement and the Privacy Policy, or as required by law. We may share usage and statistical data with partners and third parties in aggregated form, but such information will not include personal identifiers. Dwello may access your account as necessary to address service issues, technical problems, or suspected violations of these Terms.

c. You are solely responsible for the accuracy, quality, legality, and appropriateness of all Data you submit through the Site. Dwello is not responsible for any deletion, loss, corruption, or failure to store your Data and shall not be liable for any actions taken in reliance on the accuracy of such Data.

a. All rights, title, and interest in and to the Site, including but not limited to all software, source code, algorithms, text, images, user interfaces, design, and underlying technology, are and will remain the exclusive property of Dwello, LLC and/or its User. You are granted a limited, non-exclusive, revocable license to access and use the Site solely for its intended purpose, subject to the terms of this Agreement. No ownership rights are transferred to you through your use of the Site.

a. Loan offers on our Site come from third-party providers ("Lenders"). By submitting a prequalification or inquiry form, you consent to be contacted by these Lenders via phone, SMS, email, or other communication channels. You acknowledge that Dwello is not responsible for the acts or omissions of any Lender or for any result that may arise from those acts or omissions.

a. By submitting an inquiry or creating an account on the Site, you expressly consent to be contacted by Dwello, our partners, and third-party Lenders at any telephone number, mobile number, or email address you provide. This may include calls or text messages made using an automatic telephone dialing system, prerecorded or artificial voice messages, and other automated technologies. Your consent to receive such communications is not a condition of using the Site or obtaining any product or service.

b. You represent and warrant that the telephone number(s) you provide belong to you and are not associated with any third party, and that you are permitted to receive calls and messages at those numbers. You agree to notify us immediately if any number you provided is surrendered, reassigned, or no longer in your control.

c. You may opt out of marketing-related calls or texts at any time by replying “STOP” to any message or by emailing us at support@dwellolending.com with the subject line “Opt Out.” Opting out will not affect your communications regarding active applications or required transactional notices.

a. As part of your use of the Site, you may be connected with or directed to third-party financial institutions, service providers, or other vendors (each “Third-Party”, and collectively, “Third Parties”) offering products or services, including loan products, financial tools, or promotional offerings. Any engagement, transaction, or correspondence between you and such Third Parties, including but not limited to applications, negotiations, or agreements, is solely between you and the applicable Third Party.

b. Dwello is not a party to, and does not guarantee, endorse, or make any representations regarding any such Third Party products or services. Dwello expressly disclaims any liability, obligation, or responsibility arising from your interactions or agreements with a Third Party, this includes, but is not limited to, any kind of disputes, illegal conduct, contractual obligations, or performance issues. Furthermore, Dwello is not responsible for the accuracy, completeness, privacy practices, or any other aspects of Third-Party websites, services, or communications. Any loss, damage, or other consequences resulting from your use of Third-Party products, services, or sharing of your information with third parties is solely your responsibility.

c. The Site may contain links to third-party websites or resources. Dwello does not endorse, control, or assume responsibility for any third-party content, products, services, or practices. Your interactions with such third parties are solely between you and the third party, and Dwello is not liable for any loss or damage arising from those interactions.

d. In the event of a dispute or claim with any Third Party, you acknowledge that your sole and exclusive remedy lies with that party. You expressly waive, release, and discharge, without limitation, Dwello, its affiliates, officers, directors, employees, and agents from all and any claims, demands, losses, damages, liabilities, or cause of action, whether known or unknown, foreseen or unforeseen, arising out of or related to such disputes.

e. Loan offers, rates, terms, or prequalification results displayed on or through the Site are provided solely by third-party Lenders. Dwello does not guarantee that you will receive any loan offer, that any displayed terms will remain available, or that any Lender will ultimately approve your application. All offers are subject to each Lender’s separate credit criteria, verification requirements, and underwriting guidelines.

a. You are solely responsible for all activity that occurs under your account or is related to your account, including maintaining the accuracy and completeness of any information you submit on and through the Site, such as loan inquiries and personal information. You also agree to safeguard and keep your account credentials confidential.

b. You agree to:
i. Immediately notify Dwello of any unauthorized use of your account or suspected breach of security;
ii. Log out or exit your account at the end of each session; and/or
iii. Refrain from attempting to copy, distribute, or otherwise misuse any content, systems, or services offered through the Site.

c. Dwello is not liable for any unauthorized access, use or alteration of your account, Data, or communications, even if such access occurs as a result of a Third Party’s misuse, nor for any transaction or failure resulting from your failure to follow the terms of the Agreement.

d. You agree to cooperate with Dwello in any reasonable request related to verification of your identity, your submitted information, or your eligibility to use the Site. Failure to cooperate may result in suspension or termination of your account or limitations on your access to services offered through the Site.

a. Dwello does not provide any legal, financial, tax, or professional advice. Any information provided on the Site is for general informational purposes only and does not constitute legal, financial, or tax advice.

a. By using the Site, creating an account, submitting a financing inquiry, or interacting with Dwello or any participating Lender through the Site, you agree to receive all disclosures, notices, agreements, legally required documents, and other communications electronically (“Electronic Communications”). Electronic Communications may include email, SMS/text messages, in-account notifications, or links to documents delivered electronically.

b. You acknowledge that Electronic Communications may include important information related to your financing inquiry, required disclosures under federal or state law, and information from participating Lenders. You agree that Electronic Communications satisfy any legal requirement that such communications be in writing.

c. You may withdraw your consent to receive Electronic Communications at any time by emailing compliance@dwellolending.com. However, withdrawing consent may prevent you from using the Site or from completing a financing inquiry, and may delay, suspend, or otherwise affect your ability to obtain a loan from a participating Lender. Lenders may require electronic delivery of certain disclosures as a condition of processing or servicing your loan. If you withdraw consent, Dwello and participating Lenders may be unable to continue providing services to you.

d. Withdrawing your consent does not affect the legal validity of any Electronic Communications already provided, and it does not terminate any obligations you may have under an existing agreement with a Lender.

a. All content on the Site, including, but not limited to, text, graphics, logos, and software, is owned or licensed by Dwello and is protected under copyright and trademark law. You shall not copy, distribute, modify, or create derivative works from any materials on the Site without our express written permission.

a. You are responsible for the information you submit through the Site and agree that all information is accurate and truthful. Dwello is not responsible for errors in application submissions or the information provided to Lenders, as per provisions 8 and 9 above.

a. You agree not to use the Site to:
i. Violate any law, regulation, or third-party right;
ii. Submit false, misleading, or fraudulent information;
iii. Interfere with the security, integrity, or performance of the Site;
iv. Access the Site using automated scripts, bots, crawlers, or data-harvesting tools;
v. Scrape, copy, or index any portion of the Site or its content without our express written consent;
vi. Upload or transmit any harmful, malicious, obscene, defamatory, or unlawful content;
vii. Upload or transmit viruses, malware, worms, spyware, or any program intended to damage or disrupt software or devices;
viii. Attempt to gain unauthorized access to Dwello’s systems, User accounts, or networks;
ix. Use the Site for commercial solicitation, unsolicited messages (“spam”), or marketing without permission;
x. Collect or harvest personal information of other Users;
xi. Misrepresent your identity or affiliation with any person or entity;
xii. Reverse engineer, decompile, or derive source code from any part of the Site; or
xiii. Engage in any conduct that Dwello determines, in its sole discretion, to be harmful, abusive, deceptive, or disruptive.

b. Dwello reserves the right to investigate and take legal action against any User who violates these restrictions.

a. THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. DWELLO DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

a. If you believe that any content on the Site infringes your copyright, you may send a notice pursuant to the Digital Millennium Copyright Act (“DMCA”) to our designated Copyright Agent:

Your notice must include: (1) identification of the copyrighted work claimed to have been infringed; (2) identification of the material alleged to be infringing; (3) your contact information; (4) a statement that you have a good-faith belief that the use is not authorized; (5) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized agent; and (6) your physical or electronic signature.

d. Dwello may remove disputed material and may terminate repeat infringers in appropriate circumstances.

a. By using the Site, you understand and agree that neither Dwello, its partners, licensors, nor their employees is responsible or liable for any indirect, incidental, special, consequential, or damages, or any claim, loss, cost, or damage of any kind, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access or use or inability of access or use the services and the Site, and your failure to safeguard your account credentials, this includes, without limitation, any errors, omissions, interruptions, or inaccuracies.

b. In the states that do not allow the exclusion or limitation of liability for damages, our liability is limited to the fullest possible extent permitted by law. Total liability shall not exceed $100.

c. Time Limitation on Claims. Any claim or cause of action arising out of or relating to your use of the Site or this Agreement must be filed within one (1) year after such claim arose; otherwise, the claim is permanently barred, regardless of any statute or law to the contrary.

a. Use of the Site may be subject to specific fees. Access to certain features or services may require the payment of fees. All fees will be clearly disclosed at the time of purchase or subscription and must be paid in accordance with the specified billing terms. Unless otherwise stated, fees are non-refundable. Dwello reserves the right to change our fees at any time upon reasonable notice, and continued use of the Site after such changes will constitute your agreement to the new fees.

a. This Agreement shall be governed by the laws of the State of Nevada without regard to the conflicts of laws rules of any jurisdiction. You agree to resolve any disputes with Dwello, including but not limited to the interpretation and enforcement of the Agreement or your use of the Site, through binding arbitration, and waive your right to a jury trial and class action participation. Arbitration shall be conducted in Nevada, under the rules of JAMS.

b. You and Dwello each waive any right to a jury trial and agree that all disputes will be resolved only on an individual basis. Class actions, class arbitrations, private attorney-general actions, and consolidated actions are not permitted.

c. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration clause. This clause shall survive termination of this Agreement.

a. We may modify this Agreement at any time. If we do so, we may notify the User by email to the email address provided to us; however, we are not obliged to, and such modifications shall be effective upon our posting of the revised terms on the Site. User agrees to be bound by and changes to this Agreement when User continues to use the Site after modifications are posted.
